GREBCO CLEANING COMPANY
PROFESSIONAL CLEANING SERVICES AGREEMENT
This Professional Cleaning Services Agreement (“Agreement”) is entered into between GrebCo Cleaning Company (“GrebCo,” “Contractor,” or “Service Provider”) and the client identified below (“Client”).

GrebCo will provide professional cleaning services according to the selected services and any attached Scope of Work.
4. CLEANING SCHEDULE
5. CONTRACT PRICE
Unless otherwise stated, additional work outside the agreed Scope of Work will be separately quoted or authorized before performance.
6. PAYMENT TERMS
For security, full payment-card numbers, banking passwords, PINs, or online banking credentials should not be written on this Agreement. Electronic payment information should be submitted through GrebCo’s approved secure payment processor.
7. SUPPLIES & EQUIPMENT
Cleaning equipment and ordinary cleaning products will be provided by:

Consumables may include paper towels, toilet tissue, hand soap, trash liners, and similar facility supplies.
8. PROPERTY ACCESS
GrebCo will take reasonable measures to safeguard keys, access cards, security information, and access codes provided for performance of the services.
9. CLIENT RESPONSIBILITIES
The Client agrees to provide reasonable access to the premises and disclose known conditions that could materially affect worker safety or performance.
The Client is responsible for securing cash, jewelry, confidential documents, medications, weapons, valuable collectibles, and unusually valuable or sensitive property before cleaning.
10. GREBCO SERVICE COMMITMENT
GrebCo agrees to perform contracted services professionally and according to the agreed Scope of Work.
GrebCo will use reasonable care while working on the Client’s premises, maintain appropriate supervision and quality-control procedures, and address verified cleaning deficiencies.
11. QUALITY ASSURANCE
If the Client identifies a cleaning deficiency, the Client should notify GrebCo as soon as reasonably possible, preferably within 24 hours of the affected service.
When appropriate, GrebCo may return to correct the affected area, correct the deficiency during the next scheduled service, or provide another mutually agreed remedy.
12. DAMAGE / INCIDENT REPORTING
Both parties agree to promptly report material damage or incidents related to the cleaning service.
GrebCo will investigate claims involving its personnel and address matters for which it is legally responsible in accordance with applicable law, insurance coverage, and this Agreement.
13. MEDICAL, DENTAL & HEALTHCARE FACILITIES
For healthcare-related facilities, the Client shall identify restricted areas, regulated waste, infection-control requirements, and facility-specific protocols before service begins.
Unless specifically contracted and legally permitted, GrebCo personnel will not handle sharps, pharmaceuticals, laboratory specimens, regulated medical waste, biohazardous materials, or specialized clinical materials.
14. HAZARDOUS MATERIALS
Standard cleaning does not include asbestos, significant mold remediation, hazardous chemicals, biohazards, regulated waste, or other materials requiring specialized certification or handling unless separately agreed in writing and GrebCo is legally qualified to perform such work.

Any renewal provision is subject to applicable law.
17. PRICE ADJUSTMENTS
Pricing is based upon the agreed facility size, service frequency, labor requirements, facility conditions, and Scope of Work.
If these materially change, GrebCo may submit revised pricing.
GrebCo will provide reasonable written notice before a recurring price adjustment becomes effective, except where the Client has requested an immediate change in services.
18. CANCELLATION & TERMINATION
For month-to-month service, either party may terminate this Agreement by providing:

19. NONPAYMENT
Subject to applicable law and applicable notice requirements, GrebCo may suspend future services when an undisputed invoice remains materially past due.
20. INDEPENDENT CONTRACTOR
GrebCo performs services as an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, joint-venture, or agency relationship between GrebCo and the Client.
21. CONFIDENTIALITY
GrebCo personnel shall be instructed not to access, photograph, copy, use, or disclose confidential information encountered at the Client’s premises except as reasonably necessary to perform the contracted services or as required by law.
22. CHANGES TO SERVICE
Changes to price, frequency, service areas, or other material terms should be documented through an amendment, revised proposal, service order, email confirmation, or other mutually accepted written record.
23. GOVERNING LAW
If Georgia is the agreed jurisdiction for the services, this Agreement shall be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
24. ENTIRE AGREEMENT
This Agreement, together with the accepted proposal, Scope of Work, pricing schedule, service schedule, and signed amendments, represents the parties’ agreement concerning the contracted cleaning services.
